These Terms & Conditions ("Terms") govern your access to and use of the Quantnix ("Quantnix", "we", "us", or "our") website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the site or services.
1. Eligibility & acceptance
You must be at least 18 years old and able to form a binding contract to use our services. By using the site you represent that you meet these requirements and that the information you provide is accurate.
2. Use of our website
You may use our website only for lawful purposes. You agree not to: misuse, disrupt, or attempt to gain unauthorised access to the site or its systems; scrape or harvest data; introduce malicious code; or use the site in any way that infringes the rights of others or violates applicable law.
3. Services, proposals & agreements
The scope, deliverables, timelines, and fees for any project are defined in a separate written proposal, statement of work, or order ("Agreement"). These Terms apply alongside that Agreement; if there is a conflict, the signed Agreement prevails. Estimates and timelines are good-faith projections and may change as scope evolves.
4. Fees & payments
Deposits, retainers, and invoices are payable as set out in your Agreement. Online payments are processed securely by a third-party provider (Stripe); we do not store full card details. Unless stated otherwise, fees are exclusive of taxes, are non-refundable once work has commenced, and late payments may incur suspension of work or interest as permitted by law.
5. Client responsibilities
You agree to provide timely access, content, approvals, and information reasonably required for us to perform the services. Delays caused by missing materials or approvals may affect timelines and costs. You are responsible for the legality and accuracy of materials you provide and for obtaining any necessary rights.
6. Intellectual property
Upon full payment, ownership of the final, paid-for deliverables transfers to you as specified in your Agreement, except for third-party materials, open-source components, and our pre-existing tools, frameworks, and know-how, which we license to you for use within the deliverables. We retain the right to display non-confidential work in our portfolio and case studies unless you request otherwise in writing. The Quantnix name, logo, and website content remain our property.
7. Confidentiality
Each party agrees to keep the other's confidential information secret and to use it only to perform or receive the services. This obligation survives termination.
8. Warranties & disclaimers
We provide our services with reasonable skill and care. Except as expressly stated, the website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation.
9. Limitation of liability
To the maximum extent permitted by law, Quantnix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill, arising from your use of the website or services. Our total aggregate liability for any claim is limited to the amount you paid us for the services giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law (e.g., for death or personal injury caused by negligence, or fraud).
10. Indemnity
You agree to indemnify and hold Quantnix harmless from claims, damages, and expenses arising out of your breach of these Terms, your misuse of the services, or content or materials you provide.
11. Third-party services & links
Our services may rely on or link to third-party platforms (e.g., hosting, payment, analytics). Your use of those services is subject to their terms, and we are not responsible for them.
12. Termination
Either party may terminate an Agreement as set out in it. We may suspend or terminate your access to the site if you breach these Terms. Provisions that by their nature should survive termination (including IP, confidentiality, liability, and indemnity) will survive.
13. Governing law & disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, unless a mandatory consumer-protection law of your country of residence (including in the UK or EU) provides otherwise. Where you are a consumer in the UK or EU, you retain the protections and mandatory rights of your home jurisdiction. The parties will attempt to resolve disputes in good faith before resorting to courts of competent jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. Changes are effective when posted with a revised "Last updated" date. Continued use after changes constitutes acceptance.
